 Hudsonís Bay Rewards Program Overview

1. Effective as of February 3, 2013, the ďHBC RewardsĒ program, which came into effect on May 2, 2001, was transitioned to the ďHudsonís Bay RewardsĒ program (the ďProgramĒ). The Program is a customer rewards program offered by Hudsonís Bay Company (together with certain of its subsidiaries and affiliates, ďHudsonís BayĒ) to customers of Hudsonís Bay or Home Outfitters (the ďStoresĒ or each individually a ďStoreĒ) and to online customers shopping on theBay.com, and HomeOutfitters.com (together, the ďHudsonís Bay WebsitesĒ, and individually each, a ďHudsonís Bay WebsiteĒ). The following terms and conditions govern the Program and shall be deemed to replace and take precedence over any previous terms and conditions, including, without limitation, those related to the discontinued HBC Rewards, Club Z and the Bay VIP programs.

2. Hudsonís Bay may, in its sole discretion, restrict, suspend, amend, extend or otherwise alter the terms and conditions relating to the Program (including earning and redemption rates) at any time and without prior notice. If the terms and conditions have been updated, Hudsonís Bay will post the new terms and conditions on the Hudsonís Bay Program Website found at www.hbc.com/rewards(the ďProgram WebsiteĒ) and note the date that they were last updated. Copies of the terms and conditions will also be made available upon request by calling 1.800.844.8131. We encourage Members (as defined below) to review the terms and conditions relating to the Program each time they use the Program Website or redeem their Points. Hudsonís Bay may, in its sole discretion, terminate all or any part of the Program at any time with 30 daysí prior notice.

3. Where notice is to be provided pursuant to any section of these terms and conditions (except as it relates to individual Accounts, as defined in section 9), it will be made via store circulars, and/or notices posted in Stores, and/or a notice posted on the Program Website, as determined by Hudsonís Bay in its sole discretion.

 Hudsonís Bay Program Membership

4. To participate in the Program, an individual must be a member of the Program (each, a ďProgram MemberĒ or ďMemberĒ). All customers previously enrolled as HBC Rewards members have been automatically transferred to the new Program. Program membership is granted in Hudsonís Bayís sole discretion, and may be withdrawn or suspended in Hudsonís Bayís sole discretion with or without notice and without liability to Hudsonís Bay. An application for enrolment into the Program may be completed on the Program Website or at any Store. Only one Hudsonís Bay Rewards Program membership is available per customer.

5. A Program Member must hold a valid Hudsonís Bay Rewards card (as defined in section 10) and be registered on a valid Account, as described in section 14 below. Except for ďCommunity MembersĒ (as defined in the Community Program Terms and Conditions, which are available on the Program Website and in Hudsonís Bay Stores , only an individual consumer may be a Program Member, unless written approval is received in advance from Hudsonís Bay.

6. If Hudsonís Bay determines that a Program Member has abused any of the Programís privileges, fails to comply with any of these terms and conditions, defaults in making any required account payments on a Hudsonís Bay credit card or Hudsonís Bay co-branded credit card (individually or collectively, the ďHudsonís Bay Credit CardĒ), or makes any misrepresentation to Hudsonís Bay, Hudsonís Bay may, in its sole discretion, take such actions as it deems appropriate, including without limitation, suspending such Memberís privileges under the Program, revoking any or all of the Hudsonís Bay Rewards Points in such Program Memberís Account, and/or revoking the Program Memberís (including the Primary Member and all Supplementary Cardholders) membership in the Program, in each case, with or without advance notice to the Member and without liability to Hudsonís Bay.

7. Program Members must advise Hudsonís Bay immediately of any change to their address by writing to Hudsonís Bay Rewards Customer Service, P.O. Box 4135, Station A, Toronto, Ontario, M5W 3B7, or 1-800-844-8131.

8. Hudsonís Bay is not liable or responsible in any manner for any tax consequences which may flow from a Memberís participation in the Program. Program Members will be solely responsible for their own tax payments and reporting requirements (including those related to any income tax benefit), if any.

Hudsonís Bay Rewards Card/Supplementary Cards

9. All customers previously enrolled as HBC Rewards members have been automatically transferred to the new Program, and their existing Rewards cards will be honored. For new members, once a membership application is approved by Hudsonís Bay, the Hudsonís Bay Rewards Card and the corresponding Card number are registered by Hudsonís Bay in the name of such Member (such person, the ďPrimary MemberĒ). At such time, an account is opened in the Primary Memberís name (ďHudsonís Bay Rewards AccountĒ or ďAccountĒ). Supplementary Cards related to the same Hudsonís Bay Rewards Account may be issued at the request of the Primary Member, provided that the issuance is to an immediate family member of such Primary Member (being a parent, child, sibling or spouse) who is domiciled with the Primary Member (such person, a ďSupplementary CardholderĒ). Although the Primary Member and each of the Supplementary Cardholders are considered to be Program Members, (i) all Points earned by anyone in such a group will be allocated to the Hudsonís Bay Rewards Account registered in the Primary Memberís name, and (ii) only the Primary Member can redeem Points for Rewards. Primary Members agree to accept full responsibility for ensuring that each Secondary Cardholder relating to such Memberís Account complies with these terms and conditions and agrees to remain responsible for the actions of and obligations of each such Supplementary Cardholders.

10. The Hudsonís Bay Rewards membership card (the ďHudsonís Bay Rewards CardĒ or the ďCardĒ) is the property of Hudsonís Bay and may be revoked at any time by Hudsonís Bay in its sole discretion, with or without notice to the Member.

11. The Hudsonís Bay Rewards Card is not a credit card.

Hudsonís Bay Rewards Points

12. Points can be earned by Program Members in connection with (a) purchases made at a Store or on a Hudsonís Bay Website, regardless of method of payment, provided that the Hudsonís Bay Rewards Card is presented/entered at the time of purchase, (b) purchases made other than at a Store or on a Hudsonís Bay Website using a Hudsonís Bay Credit Card, where accepted; (c) at those locations or through such channels as may be identified by Hudsonís Bay from time to time, including but not necessarily limited to Hudsonís Bay Rewards Partners (see section 42), and (d) through other offers or promotions that may be offered by Hudsonís Bay from time to time.

13. Upon presenting/entering a valid Hudsonís Bay Rewards card while making a purchase, the Points will only be deposited into the Hudsonís Bay Rewards Account associated with the Primary Member, unless otherwise specifically permitted by Hudsonís Bay.

Hudsonís Bay Rewards Points Transferability

14. Hudsonís Bay Rewards Points are not transferable or assignable, except (a) to the beneficiary of a deceased Primary Member, as outlined in section 15, (b) as permitted in connection with the ďCommunity ProgramĒ (as defined in the Community Program Terms and Conditions, which can be accessed via the Program Website), or (c) as specifically authorized by Hudsonís Bay. Program Members may combine Points in their Hudsonís Bay Rewards Account with those in Hudsonís Bay Rewards Accounts held by their immediate family members domiciled at the same address. Upon authorization of the transfer, the ďtransfer toĒ Hudsonís Bay Rewards Account Member will become the Primary Member of the combined account and the ďtransfer fromĒ Hudsonís Bay Rewards Account will be closed and rendered inactive. Points will not be transferred out of any Hudsonís Bay Rewards Account that is not in good standing (including under the circumstances outlined in section 6).

15. Hudsonís Bay Rewards Points can be inherited through a valid legal will, provided that Hudsonís Bay is provided with a copy of the death certificate, proof of executor or administrator, and such other documentation, as Hudsonís Bay may reasonably request. The executor or administrator must advise Hudsonís Bay of who the beneficiary of the Points will be and provide the beneficiaryís Hudsonís Bay Rewards Account number (or, if the beneficiary is not already a Primary Member, a new Hudsonís Bay Rewards Account will be opened for the beneficiary). Hudsonís Bay will not be liable or responsible in any manner for any tax consequences which may flow from the inheritance of Hudsonís Bay Rewards Points.

Earning Hudsonís Bay Rewards Points

16.

The number of Points earned by a Member will depend on whether the purchase is made in a Store or on a Hudsonís Bay website, or otherwise. In addition, the number of Points earned on any purchases made at a Store or on a Hudsonís Bay website will depend on several factors, including (i) whether Member presents/enters their Hudsonís Bay Rewards card, (ii) the tender used, and specifically whether Member uses their Hudsonís Bay Credit Card, (iii) the Memberís tier at the time of purchase, and (iv) whether the purchase includes any Excluded Products (as defined in Section 22).

Earning Points at the Stores or on a Hudsonís Bay Company Website

The Hudsonís Bay Rewards Program is a tiered program.

Tier 1: Hudsonís Bay Rewards

For the Hudsonís Bay Rewards tier, Hudsonís Bay Rewards Points will be awarded at the rate of 1 Point per dollar spent at any of the Stores or on the Hudsonís Bay Company Websites (except as otherwise noted in sections 22 and 23), provided that the Member presents/enters their Hudsonís Bay Rewards card in connection with the purchase. An additional 1 Point per dollar will be issued in connection with eligible purchases charged to a Hudsonís Bay Credit Card at any of the Stores or on the Hudsonís Bay Websites. Subject to the terms and conditions, all Members qualify for the Hudsonís Bay Rewards tier.

Tier 2: Hudsonís Bay Rewards Plus

For the Hudsonís Bay Rewards Plus tier, Hudsonís Bay Rewards Points will be awarded at the rate of 1.5 Points per dollar spent at any of the Stores or on the Hudsonís Bay Websites (except as otherwise noted in sections 22 and 23), provided that the Member presents/enters their Hudsonís Bay Rewards card in connection with the purchase.

An additional 1.5 Points per dollar will be issued in connection with eligible purchases charged to a Hudsonís Bay Credit Card at any of the Stores or on Hudsonís Bay Websites. In order to qualify for the Hudsonís Bay Rewards Plus tier, a Member must (i) spend between $400.00 and $1199.99 (before tax, net of returns and excluding purchases of Excluded Products as defined in Section 22) at the Stores or on Hudsonís Bay Websites, AND (ii) make at least two separate purchase visits at any Store or on Hudsonís Bay Websites between January 1 and December 31st of a calendar year. A Memberís purchases are not deemed to be separate ďpurchase visitsĒ if the purchases are made on the same date and at the same Store/on the same Hudsonís Bay Website. Otherwise, the purchase qualifies as a separate purchase visit.

Points are earned at these rates from the moment a Member satisfies the conditions outlined above and shall continue until the end of such calendar year (unless the Member is demoted or upgraded to a different tier in accordance with these terms and conditions).

Hudsonís Bay Rewards Plus tier members will also qualify for additional benefits, including exclusive access to savings events and promotions as well as advance notice of sales to shop before the general public. The Member is entitled to these additional benefits until December 31st of the year that follows the calendar year in which the Member qualified for the Hudsonís Bay Rewards Plus tier (unless the Member is demoted to a different tier in accordance with these terms and conditions).

Tier 3: Hudsonís Bay Rewards VIP

For the Hudsonís Bay Rewards VIP tier, Hudsonís Bay Rewards Points will be awarded at the rate of 2 Points per dollar spent at any of the Stores or on the Hudsonís Bay Company Websites (except as noted in sections 22 and 23), provided that the Member presents/enters their Hudsonís Bay Rewards card in connection with the purchase.

An additional 2 Points per dollar will be issued in connection with eligible purchases charged to a Hudsonís Bay Credit Card at any of the Stores or on Hudsonís Bay Websites. In order to qualify for the Hudsonís Bay Rewards VIP tier, a Member must (i) spend $1200 or more (before tax, net of returns and excluding purchases of Excluded Products as defined in Section 22) at the Stores or on Hudsonís Bay Websites, AND (ii) make at least two separate purchase visits at any Store or on Hudsonís Bay Websites between January 1 and December 31st of a calendar year. A Memberís purchases are not deemed to be separate ďpurchase visitsĒ if the purchases are made on the same date and at the same Store/on the same Hudsonís Bay Website. Otherwise, the purchase qualifies as a separate purchase visit.

Points are earned at these rates from the moment a Member satisfies the conditions outlined above and shall continue until the end of such calendar year (unless the Member is demoted or upgraded to a different tier in accordance with these terms and conditions).

Hudsonís Bay Rewards VIP tier members will also qualify for additional benefits, including exclusive access to savings events and promotions as well as advance notice of sales to shop before the general public. The Member is entitled to these additional benefits until December 31st of the year that follows the calendar year in which the Member qualified for the Hudsonís Bay Rewards VIP tier (unless the Member is demoted to a different tier in accordance with these terms and conditions).

Eligibility for a specified tier is not permanent. On January 1 of each calendar year, each Memberís status is reset to the Hudsonís Bay Rewards tier (ie: Tier 1). By way of example, a Member who qualifies for the Hudsonís Bay Rewards Plus tier on June 15, 2013 will earn points at Hudsonís Bay Rewards Plus tier level from that date until December 31, 2013 (assuming such Member does not subsequently qualify for the Hudsonís Bay Rewards VIP tier or is demoted to Hudsonís Bay Rewards tier). As of January 1, 2014, this Member will start earning Points at the Hudsonís Bay Rewards tier level, until such Member once again re-qualifies for a higher tier.

When moving from one tier to another during a transaction, Points earned as a result of a purchase, or Points deducted as a result of a return will be prorated based on the percentage of the total transaction amount attributed to each tier.

Earning Points outside the Stores or the Hudsonís Bay Company Websites

Outside of the Stores or the Hudsonís Bay Company Websites, Hudsonís Bay Rewards Points will be awarded on eligible purchases at a rate of 2 Points per dollar spent by a Member using a Hudsonís Bay Credit Card, where accepted.

General

17.

Occasionally, through specified promotions, additional Points or other benefits may be awarded to certain Members. Hudsonís Bay Rewards Partners (as outlined in section 37) may issue Points on a different basis and using different rates. For complete Program details, visit the Program Website.

Hudsonís Bay may change the basis on which Points are awarded (including number of Points awarded) at any time, with or without notice, in Hudsonís Bay sole discretion.

18. In order to earn Points in connection with a purchase made at a Store or on a Hudsonís Bay Website, the Member must, prior to the sale being completed, present his/her Hudsonís Bay Rewards Card to the cashier, or enter the Hudsonís Bay Rewards card number on the Hudsonís Bay Website, as applicable. However, Members who do not have their Hudsonís Bay Rewards card with them at the time of purchase can have the Points posted to their Hudsonís Bay Rewards Account if, within 90 days of the date of purchase, such Member presents the original receipt or order confirmation form at a Store, together with their Hudsonís Bay Rewards Card, or calls the Hudsonís Bay Rewards Customer Service at 1-800-844-8131 and provides their Hudsonís Bay Rewards card number as well as the original receipt details.

19. In the case of merchandise refunds, all Points awarded for that purchase will be automatically deducted from the Hudsonís Bay Rewards Account used for the original purchase (regardless of whether or not the Hudsonís Bay Rewards Card is presented at the time of return). Points will be deducted at the same rate as they were earned and may impact such Memberís membership entitlements to a specific tier (as outlined in section 16).

20. Hudsonís Bay Rewards Points are typically shown on the receipt issued in respect of a purchase. If Hudsonís Bay Rewards Points do not appear on a receipt, Members may inquire about the Points awarded relating to the purchase and/or their Points status in general at any Store or by calling Hudsonís Bay Rewards Customer Service at 1-800-844-8131, in each case within three months of the purchase date. Information regarding current Points totals and tier status is also available on the Program Website. Points earned through online purchases (at Hudsonís Bay Websites) are usually posted within 24 hours of purchase. Points earned in connection with in-Store purchases are usually posted instantly.

21. All Hudsonís Bay Rewards Points totals, as shown on in-Store cash register receipts, will be deemed correct unless otherwise substantiated by the Member with evidence satisfactory to Hudsonís Bay. Discrepancies must be addressed by visiting the Program Website, calling the Hudsonís Bay Rewards Customer Service at 1-800-844-8131 or by visiting a Store, in each case within 90 days of the applicable purchase date.

22. Unless clearly specified otherwise, Hudsonís Bay Rewards Points will not be issued in connection with the purchase of the following (collectively, ďIneligible ProductsĒ): (i) health and beauty aids; (ii) liquor; (iii) confectionary; (iv) transit tickets; (v) lottery tickets; (vi) post office products; (vii) products purchased in the optical department; (viii) spa services; (ix) fur storage; (x) bridal and formal wear; (xi) tax services; (xii) health services & orthotics; (xiii) travel services; (xiv) prepaid & extended warranties; (xv) clothing alterations; (xvi) appliance repairs & installation services; (xvii) delivery fees; (xviii) direct mail purchases; (xix) products purchased in a beauty/hair salons; and (xx) products sold at certain other selected licensed departments. This list is subject to change at any time. Hudsonís Bay Credit Card holders will not earn Points on balance transfers or cash advances.

23. Hudsonís Bay Rewards Points will not (unless expressly stated) be issued upon the purchase of Hudsonís Bay Gift Cards, but will be issued when these Gift Cards are used, provided that such Member presents their Hudsonís Bay Rewards Card (or as otherwise outlined in these terms and conditions).

24. Except as specifically provided in these terms and conditions, Hudsonís Bay Rewards Points have no cash value and are not exchangeable for cash. The approximate retail value of the Hudsonís Bay Rewards Points will vary depending on the reward chosen at the time of redemption. Hudsonís Bay Rewards Points are void if sold, purchased, assigned or transferred, except as specifically provided in these terms and conditions, or in connection with special programs, advertised and/or offered by Hudsonís Bay in its sole discretion, including the Community Program (as described in the Community Program terms and conditions, available on the Program Website).

Inactive Accounts

25. A Hudsonís Bay Rewards Account is deemed to be inactive if Points are not earned in connection with such Account for 12 consecutive months. Once an Account is deemed to be inactive, all Hudsonís Bay Rewards Points in such Account may, in Hudsonís Bay Companyís sole discretion, be deemed to have been forfeited by such Member, with or without notice.

Lost, Stolen or Damaged Cards

26. Program Members must immediately notify Hudsonís Bay if their Hudsonís Bay Rewards Card is lost or stolen. Once Hudsonís Bay is made aware of a lost or stolen Hudsonís Bay Rewards Card, it will flag the Hudsonís Bay Rewards card as lost or stolen on its system and the Hudsonís Bay Rewards Account, and all Hudsonís Bay Rewards cards associated with the Account, will be rendered inactive as soon as possible following such notification. Hudsonís Bay may, in its sole discretion, issue a new Hudsonís Bay Rewards Account number and/or Hudsonís Bay Rewards card to the applicable Primary Member, provided that such Member provides photo identification (government issued photo identification may be required) to a representative at a Hudsonís Bay Store, or if such Member calls Hudsonís Bay Rewards Customer Service at 1-800-844-8131 and provides satisfactory identifying information. In such cases, Supplementary Cardholders will also receive replacement supplementary Cards. All accumulated, unredeemed Hudsonís Bay Rewards Points will be transferred to the new Hudsonís Bay Rewards Account number. Program Members acknowledge that Hudsonís Bay is not responsible for any redemption made occurring while a Program Memberís Hudsonís Bay Rewards card is lost or stolen. In the event that a Primary Member or Supplementary Cardholder has a damaged Hudsonís Bay Rewards Card, a replacement Hudsonís Bay Rewards card may be issued by Hudson Bayís, in its sole discretion, upon the Primary Member submitting proper identification (government issued photo identification may be required).

Redeeming Hudsonís Bay Rewards Points

27. Hudsonís Bay Rewards Points can be redeemed for rewards. When enough Hudsonís Bay Rewards Points have been accumulated to obtain the reward(s) desired, redemption may occur in Stores or on the Program Website.

28. In addition to the redemption options outlined on the Program Website, Hudsonís Bay Rewards Points can be redeemed for Hudsonís Bay Gifts Cards at any Store in $10 increments, at a rate of 2,000 Hudsonís Bay Reward Points per $10 increment. In addition, Program Members can redeem their points on the Program Website for the following denominations only: $25 Gift Card for 5,000 HBC Reward points, $50 Gift Card for 10,000 Hudsonís Bay Reward Points and $100 Gift Card for 20,000 Hudsonís Bay Reward Points. Hudsonís Bay Gift Cards cannot be returned and are non-refundable. For more information, please review the Hudsonís Bay Gift Card Information in the FAQ section of the Program Website. Instant redemption is available at select stores in the following provinces Ė British Columbia, Alberta and Manitoba, where Program Members can instantly redeem against their purchases in increments of $10 for every 2,000 Hudsonís Bay Rewards points redeemed, provided that the Hudsonís Bay Rewards Membersí purchase is greater than the value of points being redeemed.

29. In the event of a printing, production or posting error in the Points or Trade and Save value for any Hudsonís Bay Reward, Hudsonís Bay will use best efforts to rectify this error as soon as reasonably possible. In no event shall Hudsonís Bay be under any obligation to honour a redemption request at such inaccurate value.

30. In some cases, Points can also be converted into Air Miles Rewards Miles. For further details on this option, please refer to hbc.com/rewards. Please note that only Hudsonís Bay Rewards Points earned in connection with purchases at Stores or on Hudsonís Bay Company Websites, or Points otherwise awarded by Hudsonís Bay Company through specific promotions can be redeemed for Air Miles Reward Miles. Program Members should allow up to 30 days for Air Miles Reward Miles to be reflected in their Air Miles accounts. For greater certainty, and subject to the terms and conditions outlined on hbc.com/rewards. Points earned on a Hudsonís Bay Credit Card outside of Hudsonís Bay or Home Outfitters are not eligible for conversion to Air Miles Rewards Miles.

Trade and Save

31. From time to time, Hudsonís Bay may offer ďTrade and SaveĒ promotions at certain Stores. Trade and Save promotions allow Primary Members to redeem Hudsonís Bay Rewards Points for a specified dollar discount against the purchase price of specified items. The details of each Trade and Save promotion will be outlined at the participating Store and/or in related advertising. In all cases, any applicable taxes are payable on the full purchase price of the item without regard to the Trade and Save discount. In the event that a Member returns an item purchased under a Trade and Save promotion, the Member will be refunded the entire purchase price (prior to the Trade and Save discount) in accordance with Hudson Bays standard return policy then in effect, and no Hudsonís Bay Rewards Points will be reinstated to the Hudsonís Bay Rewards Account. Notwithstanding the above, Hudsonís Bay reserves the right, in its sole discretion, to reinstate the Points redeemed against the purchase price and refund the discounted purchase price.

Delivery of Rewards

32. If mailed, and unless otherwise noted, Rewards will be delivered at Hudsonís Bay cost to the address designated by the Primary Member in his/her Account. Rewards can only be delivered to a Canadian address.

33. In some cases, the Primary Memberís identity must be confirmed at the point of delivery using identification that is satisfactory to Hudsonís Bay or Hudsonís Bay carrier. This may include a requirement to present government issued photo identification.
34. Primary Members should allow approximately 3-4 weeks for delivery of the reward(s) Hudsonís Bay does not guarantee delivery times for any delivery of a reward and will not be liable for any delay that is due to causes beyond its control including without limitation, weather-related and other uncontrollable shipping delays.
35. Delivery of rewards is subject to any restrictions and limitations imposed by Canada Post, Hudsonís Bayís sole carrier. If Canada Post cannot deliver to a certain location, Points redeemed in connection with such undeliverable item will be returned to the Primary Member.

Return of Rewards

36. Hudsonís Bay gift cards, Esso Reward Points and Air Miles Reward Miles cannot be returned and are non-refundable.

Hudsonís Bay Rewards Partners and Other Offers

37. Hudsonís Bay has established relationships with certain companies (each a ďHudsonís Bay Rewards PartnerĒ), whereby Hudsonís Bay Rewards Points can be earned and/or redeemed by Members in conjunction with separate loyalty programs established by these Hudsonís Bay Rewards Partners. Program Members must comply with all rules, regulations, terms and conditions associated with the Hudsonís Bay Rewards Partnersí programs. Hudsonís Bay or the Hudsonís Bay Rewards Partners may restrict, suspend, otherwise alter or terminate Hudsonís Bay Rewards Partnersí programs with or without notice. Hudsonís Bay Rewards Points that are redeemed through a Hudsonís Bay Rewards Partnerís program are considered redeemed for all purposes. Hudsonís Bay Rewards Partnersí programs and offers are subject to these terms and conditions and any terms and conditions related to the specific Hudsonís Bay Rewards Partnerís program, as each may be amended from time to time, with or without notice.

Privacy Notice

38. Acceptance of Terms and Conditions

39. By submitting a Hudsonís Bay Rewards application form, each Member or potential Member (i) certifies that he or she is over the age of majority in the province in which he or she resides (or is supervised by a parent or legal guardian who agrees to these terms and conditions), (ii) consents to Hudsonís Bayís collection and use of certain personal information, except as he or she may otherwise notify Hudsonís Bay, as set out in Hudsonís Bayís privacy policy, and (iii) agrees to the terms and conditions of the Hudsonís Bay Rewards Program, as they may be amended from time to time.

40. Use of a Program Memberís Hudsonís Bay Rewards Card at any time is deemed to constitute acceptance of the Hudsonís Bay Rewards terms and conditions in effect on the date of such use, either by such Member and any other Member sharing the same Hudsonís Bay Rewards Account. For greater certainty, use of a Memberís Hudsonís Bay Rewards Card at any time after these terms and conditions are amended is deemed to constitute acceptance of such revised terms and conditions. Publication of a revised version of the terms and conditions on the Program Website shall be deemed notice of such terms and conditions, where notice is required or permitted to be given hereunder.

41. If offered as an option by Hudsonís Bay Rewards Card, Primary Members may elect to have their Hudsonís Bay Credit Card ďlinkedĒ to their Hudsonís Bay Rewards Card and the Program. By such linking, Members will earn Hudsonís Bay Rewards Points on purchases made at the specified location(s) with that Hudsonís Bay Credit Card, without separately showing the Hudsonís Bay Rewards Card, and the terms and conditions of the Program will apply as if the Hudsonís Bay Rewards Card was presented.

Miscellaneous

42. Except as specifically outlined herein, these terms and conditions represent the only agreement between the Member and Hudsonís Bay in connection with the Program and supersedes all prior agreements, understandings, negotiations and discussions, whether oral or written. There are no representations, warranties, covenants, conditions or other agreements, express or implied, collateral, statutory or otherwise, including implied warranties or conditions of merchantability or fitness for a particular purpose, between a Member and Hudsonís Bay in connection with the Program, except as specifically set forth in these terms and conditions. If any provision in these terms and conditions is determined to be illegal, invalid or unenforceable, that provision will be severed and the remaining provisions shall remain in full force and effect. These terms and conditions shall be governed by the laws of the Province of Ontario and the laws of Canada applicable therein, and all Members attorn to the jurisdiction of the Province of Ontario. Any proceedings relating to matters regarding the Hudsonís Bay Rewards Program shall be brought exclusively in the courts of the City of Toronto in the Province of Ontario and orders of such Ontario courts shall be binding on Hudsonís Bay and Program Members. Otherwise, all decisions regarding the interpretation of these terms and conditions and the administration of the Hudsonís Bay Rewards Program, and any disputes arising there from, shall be resolved by Hudsonís Bay in its sole discretion. All such decisions shall be final and binding on all Program Members. In no event shall Hudsonís Bay ís liability with respect to the Hudsonís Bay Rewards Program, including liability for negligence or breach of contract, be greater than the Points accumulated in such Memberís Account at the time the dispute arose.

Conditions and benefits of Program membership for individuals who are employees or retirees of Hudsonís Bay, its subsidiaries, affiliates and licensees, may differ from those stated herein, and will be communicated by Human Resources or the appropriate division or department of Hudsonís Bay.
